GreenLightFM — Terms of Service

Effective date: 2026-08-23 (amended; originally effective 2026-08-07)

The short version

Joining GreenLightFM is free. No card, no trial clock. You get one free matched conversation every month, and founding members get two. If you want more, you can buy packs of match credits. Packs and paid memberships open in stages, and what's available to you is always shown at checkout. Circles, our paid small groups, bill monthly at the rate shown at your checkout, renew until you cancel, and you can cancel in one step at any time and keep your access through the month you paid for. If a payment ever fails, that alone never ends anything: your card is retried for about two weeks and your membership continues while it is. The full terms are below.

1. Who these terms are between

These terms are an agreement between you and Wells Capital Holdings, LLC, 1309 Coffeen Avenue, Sheridan, Wyoming 82801, the company that operates GreenLightFM ("GreenLightFM," "we," "us"). By creating an account you agree to these terms. Membership is personal to you and may not be shared, resold, or transferred. Founding benefits and founding rates are personal to you and end with your account; they cannot be transferred, assigned, gifted, sold, or otherwise conveyed to another person or organization. Ordinary account maintenance, such as updating your email address, is not a transfer. GreenLightFM is currently available to members in the United States, Canada, and the United Kingdom.

2. What GreenLightFM is

GreenLightFM matches members with each other to record podcast conversations together, and offers paid memberships for production and training. Recording itself happens outside the platform using tools of your choosing; GreenLightFM arranges the match, hosts your conversations with other members, and displays episodes you link. We may add, change, or retire features over time.

3. Joining, and your free membership

You join with your name and email. We send you a link, you set a password, and you are in. We do not ask for a card, there is no trial, and free means free: your free membership never converts into a paid one by itself, and nothing is ever charged unless you choose to buy something.

Free membership includes your profile, matching, and one matched conversation each calendar month. Founding-wave members receive two each month for the life of their account. This benefit is yours whether you stay free or upgrade, and it is not reduced if a paid membership ends. The founding allowance ends only as provided in these terms. Your current allowance and usage are always shown to you.

We may change, add, or retire features under Section 2 and update these terms under Section 14. Neither right may be used to reduce, revoke, or convert the founding allowance into a lesser benefit. The founding allowance ends only as provided in these terms: if your account is deleted, if we suspend or remove your membership for conduct under Section 11, or if we permanently discontinue the service under Section 13. Cancelling a paid membership, letting one lapse, and deactivating your account are none of these: your founding allowance continues in every one of them. Nothing here requires us to act contrary to applicable law.

4. Match credits and packs

A match credit is spent when you open the conversation with a new match. Matching itself is always free and unlimited; the credit covers the conversation. A credit covers the matched conversation itself, not the production of a finished episode.

A spent credit is returned to you if the other participant cancels the match or never engages in the conversation. It is not returned when you cancel a conversation you opened.

You may buy packs of additional match credits. Pack purchases are one-time payments, and credits never expire. If you have spent none of a pack's credits, you may request a full refund of that pack within 30 days of purchase. Once any credit from a pack is spent, the pack is non-refundable. Purchased credits work exactly like included ones: they never buy priority, placement, or preference in matching.

5. Paid memberships

GreenLightFM offers two paid memberships. StudioPro includes two produced episodes every month: you have the conversation, and we deliver the finished episode, plus the studio tools to manage every episode in one place. Circle membership adds a paid small group of six to eight members with a facilitator. Both bill monthly at the rate shown at your checkout, renew until you cancel, and follow every billing, cancellation, and refund term in these sections.

Paid memberships open in stages. What is available to you is always shown at checkout.

Produced episodes are a benefit of StudioPro membership, distinct from match credits; they do not add match credits to your account.

Circles are paid small groups of six to eight members with a facilitator. Circle membership bills monthly at the rate shown at your checkout, charged to your payment method on your renewal date, and renews automatically each month until you cancel. The rate you see at checkout is the rate that governs.

Founding members receive the founding rate, locked while their paid membership stays continuously active. This is one lock across all paid tiers. If a founding member's paid membership ends, whether by cancellation or by a failed payment that isn't resolved, and they later rejoin any paid tier, the then-current standard rate applies.

Upgrading is always your choice. We will never move you to a higher-priced tier or change what you are charged without your explicit request. If we ever change the price of your existing tier, we will give you clear advance notice, and the change applies only to renewals after that notice. Your enrollment requires your separate, affirmative consent to the billing terms at checkout, and we send you a confirmation of those terms after purchase in a form you can keep.

6. If a payment fails

A failed payment does not, by itself, end your membership. If a charge does not go through, we retry your payment method over a period of about two weeks. Your membership continues during that window. If the retries succeed, nothing changes. If they do not, your circle membership ends at that point, and your free membership continues either way.

7. Cancellation

You can cancel a circle membership at any time, in one step, from your account. There is no cancellation fee, no penalty, and no requirement to call, email, or explain. When you cancel, you are not charged again, and your circle access continues through the end of the month you have paid for. Your free membership is unaffected.

You can also deactivate your account from Settings. Deactivation hides your profile and pauses matching, and keeps everything: your recordings, your credits, and any founding benefit wait for you. Signing back in wakes your account. If your account remains inactive for two years, we'll email you and give you 30 days to sign in before it is permanently deleted.

You may delete your account entirely at any time from Settings. Deletion is permanent. Your profile, unused credits, and founding benefit are removed, and conversations you shared with other members remain visible to them with your name removed. Our Privacy Policy describes the details.

8. Refunds

Beyond the pack refund in Section 4, circle fees that have been charged are generally non-refundable, and we never charge partial-month or pro-rated fees.

The engaged-member guarantee: we stand behind your first month in a circle. If you attended your group's sessions and completed your onboarding meeting, and the circle still is not right for you, contact us within 30 days of your first circle payment and we will refund that payment in full. This applies to your first paid month only. Participation is confirmed from our session attendance and onboarding records, which are kept by the people who run your group, never inferred from logins, page views, or any other tracking.

If you are in the United Kingdom, you also have a statutory 14-day cancellation right for paid subscriptions, which applies regardless of the conditions above.

9. Your content and recordings

Your content is yours. Episodes, recordings, and everything you make remain your property, and you may use them however you like. By linking or publishing content through GreenLightFM you give us permission to display and promote it on the platform and its public pages. Guests who appear through the guest invitation flow sign a recording release, and the exact text each person agreed to is preserved. Where GreenLightFM produces assets from your content, such as clips or covers, those assets carry the GreenLightFM mark and are yours to use anywhere.

Where you publish an episode as Public and leave GreenLightFM distribution on, you grant us a non-exclusive, revocable, royalty-free licence to host, reproduce, display, excerpt, caption and promote that episode on channels we own or operate, including sublicensing only as those channels require in order to carry it. You keep ownership and every other right. We never sell or licence your content to a third party, and we never use it in a paid advertisement without asking you separately. Turning distribution off ends the licence, and anything already published on our channels comes down on request.

10. Promotion tools and campaigns

GreenLightFM may offer tools for promoting your episodes and your business, including paid advertising campaigns you can choose to run behind your content. Any campaign you run is your decision, and its outcome is your responsibility as the business owner. Campaign performance depends on markets, audiences, platforms, timing, and other factors no one controls, and results are never guaranteed. Insight and recommendations offered through GreenLightFM are informational, not a promise of performance. To the fullest extent permitted by law, GreenLightFM is not responsible for the results of any campaign you run or for losses arising from it, including advertising spend, lost revenue, or lost opportunity.

11. The no-pitch rule, and membership standards

GreenLightFM runs on one rule: nobody may pitch, sell, or solicit another member until both people have privately agreed the conversation should continue. Alongside it, the ordinary standards of a private community apply. We may suspend or end a membership, with a refund of any unused paid portion at our discretion and subject to applicable law, if a member behaves abusively toward staff or members, violates these terms, or acts in a way that harms the community. Where we can, we will tell you why.

12. Your privacy

Your private content is never read, mined, sold, or used to measure you. The details of what we collect and your choices are in our Privacy Policy at /privacy, which forms part of this agreement.

13. Legal terms

These terms are governed by the laws of the State of Wyoming, and disputes will be resolved in the state or federal courts located in Wyoming, except where the consumer protection law of your home jurisdiction gives you rights that cannot be waived, which these terms do not limit. GreenLightFM is provided as is, without warranties of any kind to the fullest extent permitted by law. Our total liability to you for any claim arising from these terms or the service is limited to the amounts you paid us in the twelve months before the claim arose. If any part of these terms is found unenforceable, the rest remains in effect. Credits never expire while the service is available. If we ever permanently discontinue GreenLightFM, we will give you at least 30 days' notice before the service ends, and your unused credits stay fully usable throughout that period, so you have the chance to use what you have paid for. Where refunds are required by applicable law, we will provide them. Included and founding allowances are benefits of membership, not stored value, and end with the service. These terms are the entire agreement between us about GreenLightFM and may be assigned by us in connection with a sale or reorganization of the business.

14. Changes to these terms

We may update these terms. If we make a material change, we will give you clear notice before it takes effect, and continuing your membership after that means you accept the updated terms. If you do not accept a change, you can cancel.

Amended 2026-08-23: founding benefits, paid memberships, account deactivation and deletion, and what happens if the service ends.

**Amendment (2026-08-07):** the brand renders as GreenLightFM; the operating entity, Wells Capital Holdings, LLC, is unchanged.

**Amendment (2026-08-08, distribution):** section 9 gains the GreenLightFM distribution licence. It is non-exclusive and revocable, it transfers no ownership, your content is never sold or licensed to a third party, and it is never used in a paid advertisement without asking you separately. Nothing in it restricts you from promoting your own episode, including running your own paid advertising to it.

**Amendment (2026-08-08):** the contact address is support@greenlight.fm. The company you contract with is unchanged: Wells Capital Holdings, LLC. Wells IP, LLC, its subsidiary, owns the marks and the intellectual property, and the platform operates as GreenLight Studios, a DBA of Wells IP, LLC.
